Terms of Service

These Terms of Service (hereinafter "Terms") govern access to and use of the miryel.fr website and the Miryel platform (hereinafter the "Service"), published by Miryel SAS (hereinafter "Miryel").
By accessing the website or using the Service, you fully accept these Terms. If you do not accept these Terms, you must not use the Service.
2. Definitions
- Platform: all software, interfaces, and technical services provided by Miryel.
- User: any natural person accessing the website or the Service.
- Client: any legal entity that has subscribed to a service agreement with Miryel.
- Client Data: all business data connected to the Platform by the Client.
- Dataset: the structured data set built by the Client within the Platform.
- TFM: Miryel's proprietary tabular foundation model for direct data exploitation.
- MCP: conversational agent enabling natural language queries on data.
3. Access to the Service
The Service is intended for professional use (B2B). Only duly incorporated legal entities may subscribe to the Platform.
Users agree to provide accurate information when creating their account and to maintain the confidentiality of their login credentials. All activity carried out under a User's account is their responsibility.
Miryel reserves the right to suspend or revoke access in the event of a breach of these Terms.
4. Description of Services
Miryel provides a sovereign data platform covering the complete pipeline: connection to existing data sources, dataset construction, and exploitation through two modes:
- TFM: direct exploitation of tabular data by technical teams.
- MCP: natural language querying of data by business teams.
Two deployment modes are available:
- On-premise: the Platform is deployed within the Client's infrastructure.
- Cloud: the Platform is hosted on a SecNumCloud-qualified European cloud.
Detailed features, usage limits, and service levels are defined in the service agreement subscribed by the Client.
5. User Obligations
Users agree to:
- Use the Service in compliance with applicable laws and these Terms.
- Not attempt to access resources, data, or features for which they do not have authorization.
- Not reverse-engineer, decompile, or disassemble any part of the Platform.
- Not use the Service for illegal, fraudulent, or rights-infringing purposes.
- Ensure the accuracy of data they connect to the Platform.
- Notify Miryel immediately of any security breach or unauthorized use of their account.
6. Intellectual Property
All elements of the Platform (software, algorithms, models, interfaces, documentation, trademarks, logos) are the exclusive property of Miryel SAS and are protected under intellectual property law.
The Client is granted a non-exclusive, non-transferable, non-sublicensable license, limited to the duration of the service agreement, to use the Platform for its intended purpose.
The Client retains full ownership of their Client Data. Miryel claims no ownership rights over data connected to the Platform.
7. Client Data
Client Data remains the exclusive property of the Client at all times. Miryel processes it solely for the purpose of delivering the Service and never uses it for any other purpose.
Upon termination of the agreement, the Client may request the complete return of their data in a standard format. If no request is made within 30 days of the end of the agreement, the data is permanently deleted.

8. Availability and Maintenance
Miryel endeavors to ensure Service availability 24 hours a day, 7 days a week. However, the Service may be interrupted for maintenance operations, updates, or in the event of force majeure.
Scheduled maintenance is communicated to the Client with reasonable notice. Specific service levels (SLA) are defined in the service agreement.
Miryel shall not be held liable for service interruptions caused by factors beyond its control (network failures, force majeure, third-party actions).
9. Liability
Miryel undertakes to provide the Service with due care and in accordance with professional standards. The Service is provided "as is," without warranty of fitness for a particular purpose beyond contractual specifications.
Miryel's liability is limited to direct damages and is capped at the total amount paid by the Client under the agreement during the 12 months preceding the event giving rise to the claim.
Under no circumstances shall Miryel be held liable for indirect damages, including but not limited to loss of profits, loss of data (except as required by law), loss of customers, or reputational harm.
10. Force Majeure
Neither party shall be held liable for failure to perform its obligations if such failure results from an event of force majeure as defined under Article 1218 of the French Civil Code, including but not limited to: natural disasters, general power or telecommunications failures, large-scale cyberattacks, government decisions, and epidemics.
11. Duration and Termination
These Terms apply from the moment of access to the website or Service and for the entire duration of use.
The service agreement may be terminated by either party in accordance with the terms set out therein. In the absence of specific provisions, either party may terminate with 3 months' prior notice.
In the event of a material breach by either party, the other party may terminate the agreement by right after a formal notice that has remained without effect for 30 days.
The consequences of termination (data return, access revocation, invoicing for services rendered) are detailed in the service agreement.
12. Confidentiality
Each party agrees to treat as confidential all non-public information exchanged in connection with the Service and not to disclose it to third parties without the prior written consent of the other party.
This confidentiality obligation survives the termination of the agreement for a period of 3 years. For details regarding personal data, please refer to our Privacy Policy.
13. Amendments
Miryel reserves the right to amend these Terms at any time. Amendments take effect 30 days after publication on the website. Continued use of the Service after this date constitutes acceptance of the updated Terms.
In the event of a material change, Miryel will notify Clients by email or through an in-platform notification.
14. Governing Law and Jurisdiction
These Terms are governed by French law.
In the event of a dispute, the parties agree to seek an amicable resolution before initiating legal proceedings. Failing an amicable agreement within 60 days, any dispute shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris).
